Item 2.01. Completion of Acquisition or Disposition of Assets.
On July 12, 2019, pursuant to the previously disclosed Asset Purchase Agreement, dated as of May 28, 2019, as amended (the Asset Purchase Agreement), by and between Merrimack Pharmaceuticals, Inc. (the Company) and 14ner Oncology, Inc. (the Buyer), the Company completed the sale of assets relating to the Companys anti-HER3 antibody programs, MM-121 (seribantumab) and MM-111 (the Transaction). The Buyer paid to the Company an upfront cash payment of $3.5 million upon the closing of the Transaction, committed to pay certain contingent development, regulatory and commercial based milestone payments, and also assumed certain liabilities with respect to the acquired assets. The material terms and conditions of the Asset Purchase Agreement were described in Item 1.01 of the Companys Current Report on Form 8-K filed with the Securities and Exchange Commission on May 30, 2019 (the Report), which description is incorporated herein by reference and is qualified in its entirety by reference to the full text of the Asset Purchase Agreement, which is attached as Exhibit 2.1 to the Report.
